1 Who We Are

GMB Toolkit provides software to connect and manage Google Business Profile locations from a single dashboard — including viewing and replying to reviews, publishing posts, and analyzing insights.

2 Eligibility

You must be at least the legal age of majority in your jurisdiction and have authority to accept these Terms on behalf of yourself or your organization.

You agree that all registration information provided is accurate and up to date.

3 Accounts & Security

• You are responsible for maintaining the confidentiality of your login credentials.
• You are responsible for all activity under your account.
• You must notify us immediately about unauthorized access or suspected security incidents.
• We may suspend or terminate accounts involved in fraud, abuse, or policy violations.

4 Access to Google APIs

To connect your Google Business Profile, GMB Toolkit may request access using Google OAuth 2.0.

Our use of Google API data complies with the Google API Services User Data Policy, including Limited Use requirements.

You can revoke access anytime at: myaccount.google.com/permissions

5 Plans, Billing & Taxes

• Subscriptions: Paid plans renew automatically unless cancelled before renewal.
• Free Trials: Trial plans may convert into paid subscriptions unless cancelled before expiry.
• Refunds: Unless required by law, fees are generally non-refundable.
• Taxes: Applicable taxes may be added depending on your jurisdiction.

6 Acceptable Use

You agree not to:

• Violate applicable laws or Google policies.
• Access another customer's account without authorization.
• Reverse engineer or bypass security restrictions.
• Send spam, malware, or abusive automated activity.
• Publish deceptive or misleading content.

7 Your Content & License

You retain ownership of all content submitted through the Services.

You grant GMB Toolkit a worldwide, non-exclusive license to host, process, display, and transmit your content solely for operating and improving the Services.

8 Google Data

Content retrieved through Google APIs may be subject to Google's policies and terms.

We do not use Google user data for advertising or unrelated profiling purposes.

9 AI Features

AI-assisted replies and suggestions may process the text you provide using third-party AI providers.

We prohibit providers from training on your identifiable data. You remain responsible for reviewing generated outputs before publishing.

10 Service Availability & Support

• Services may occasionally be unavailable due to maintenance or third-party outages.
• Support response times and channels may vary depending on your subscription plan.

11 Third-Party Services

Integrations with Google, payment gateways, analytics providers, email services, and other third parties are provided "as is."

Your use of those services is governed by their own terms and privacy policies.

12 Beta & Experimental Features

Beta features may contain bugs or change without notice.

Feedback you provide may be used by GMB Toolkit without restriction for improving the platform.

13 Confidentiality

Both parties agree to protect confidential information and use it only for purposes related to these Terms.

14 Privacy

Your use of the Services is also governed by our Privacy Policy.

15 Term & Termination

• You may stop using the Services at any time.
• We may suspend or terminate accounts involved in abuse, fraud, or violations.
• Upon termination, access to the platform will end and data handling will follow our Privacy Policy.

16 Disclaimers

The Services are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, including merchantability, fitness for a particular purpose, or uninterrupted availability.

17 Limitation of Liability

To the maximum extent permitted by law, GMB Toolkit shall not be liable for indirect, incidental, consequential, or punitive damages, including loss of profits, revenue, or data.

18 Indemnification

You agree to indemnify and hold harmless GMB Toolkit and its affiliates against claims arising from your use of the Services or violation of these Terms.

19 Changes to These Terms

We may modify these Terms from time to time.

Continued use of the Services after updates become effective constitutes acceptance of the revised Terms.

20 Governing Law & Dispute Resolution

These Terms are governed by the laws of India. Courts located in Jaipur, Rajasthan shall have exclusive jurisdiction over disputes.

21 Miscellaneous

• Entire Agreement: These Terms and Privacy Policy form the complete agreement.
• Severability: Invalid provisions do not affect remaining sections.
• Assignment: We may assign these Terms in mergers or acquisitions.
• No Waiver: Failure to enforce rights does not waive them.
• Notices: Notices may be sent through email or in-app notifications.
